Worker Terms of Access
STAFFSHIELD LLC WORKER TERMS OF ACCESS

PLEASE READ THESE WORKER TERMS OF ACCESS CAREFULLY. BY ACCESSING THE STAFFSHIELD WORKER PORTAL USING A MAGIC LINK OR OTHER ACCESS METHOD, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS THE PORTAL.
These Worker Terms of Access ("Worker Terms") govern your access to and use of the StaffShield worker self-service portal ("Worker Portal") as an individual worker, contractor, or employee ("Worker") of a staffing agency or organization that has subscribed to the StaffShield service ("Agency"). These Worker Terms are between you and StaffShield LLC ("StaffShield").
1. What StaffShield Is
1.1 StaffShield provides a document management and workflow tool to Agencies. The Worker Portal is a component of this tool that allows you to upload your employment-related documents directly. StaffShield is not your employer, does not make employment decisions, and is not responsible for any employment outcome.
1.2 Your relationship is with your Agency, not with StaffShield. If you have questions about your employment status, document requirements, or compliance obligations, please contact your Agency directly.
2. Your Use of the Worker Portal
2.1 You may use the Worker Portal solely to upload documents, view your document status, and receive notifications related to your employment documents as directed by your Agency.
2.2 Authentic Documents Only. You represent and warrant that all documents you upload are authentic, accurate, and belong to you. You shall not upload fraudulent, forged, falsified, or altered documents. You acknowledge that uploading false, forged, or altered identity, employment authorization, or immigration documents may constitute a federal crime under 18 U.S.C. § 1546 and may give rise to civil and criminal liability under federal and state law.
2.3 No Misuse. You shall not misuse the Worker Portal, attempt to access any other worker's documents, or attempt to circumvent any security measure.
2.4 Account and Access Security. You are responsible for the security of the email account, phone number, and device through which you access the Worker Portal. StaffShield is not responsible for any unauthorized access to or activity in the Worker Portal resulting from compromise of your email account, your device, or any access credential outside of StaffShield's control. You shall promptly notify StaffShield if you believe your access to the Worker Portal has been compromised.
2.5 No Relationship with StaffShield. StaffShield is not your employer, your agent, your representative, your fiduciary, or a party to any contract you have with your Agency or any third party. Nothing in your use of the Worker Portal creates any employment, agency, partnership, or other relationship between you and StaffShield. For all employment-related questions — including pay, hours, assignments, benefits, terms of employment, document requirements, and dispute resolution — contact your Agency.
3. Your Data
3.1 Documents and personal information you upload through the Worker Portal are stored by StaffShield on behalf of your Agency. Your Agency controls this data. Please refer to your Agency's own privacy practices for information about how your Agency uses your data.
3.2 StaffShield's Privacy Policy describes how StaffShield processes your data as a service provider to your Agency.
3.3 When your Agency's account is terminated or you are removed from the Agency's account, your data will be retained for thirty (30) days and then permanently deleted, unless applicable law requires longer retention.
4. Disclaimers and Limitation of Liability
4.1 THE WORKER PORTAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. STAFFSHIELD MAKES NO WARRANTY REGARDING THE ACCURACY OF DOCUMENT STATUS INDICATORS OR NOTIFICATIONS.
4.2 STAFFSHIELD'S TOTAL LIABILITY, AND THE TOTAL LIABILITY OF ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS (COLLECTIVELY, THE "STAFFSHIELD PARTIES"), TO ANY WORKER FOR ANY CLAIM ARISING FROM USE OF THE WORKER PORTAL SHALL NOT EXCEED ZERO DOLLARS ($0.00), AS YOU ARE ACCESSING THE WORKER PORTAL AT NO CHARGE. THE STAFFSHIELD PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING FROM YOUR USE OF THE WORKER PORTAL.
4.3 StaffShield is not responsible for any employment decision made by your Agency based on documents stored in the Service.
4.4 Limited Indemnification. You shall indemnify, defend, and hold harmless the StaffShield Parties from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your upload of fraudulent, forged, falsified, or altered documents; or (b) your willful misconduct or violation of law in your use of the Worker Portal.
5. Dispute Resolution
5.1 Arbitration; Class Waiver; Time Limit. Any dispute between you and StaffShield arising from these Worker Terms shall be resolved by binding individual arbitration in Maplewood, New Jersey under the AAA Commercial Arbitration Rules. You waive any right to participate in a class action, class arbitration, collective action, or representative proceeding. Any claim must be commenced within one (1) year after the cause of action accrues, or it is permanently barred. These Worker Terms are governed by the laws of the State of New Jersey.
5.2 Mass Arbitration. If twenty-five (25) or more similar arbitration demands are filed against StaffShield by or with the assistance of the same law firm or coordinated counsel within a ninety (90) day period, the AAA Mass Arbitration Supplementary Rules (or any successor rules) shall apply, claims shall be administered in sequential batches of ten (10) claims with one bellwether claim per batch, and all other claims in the batch shall be stayed pending resolution of the bellwether.
6. General
6.1 StaffShield reserves the right to modify these Worker Terms at any time with notice provided through the Worker Portal. Continued use constitutes acceptance.

6.3 Third-Party Beneficiaries. The StaffShield Parties identified in Section 4 are intended third-party beneficiaries of Sections 4 and 5 and may enforce those provisions directly.
6.4 Survival. Sections 2.2, 2.4, 4, and 5 survive any termination of these Worker Terms or your access to the Worker Portal.
BY ACCESSING THE WORKER PORTAL, YOU CONFIRM THAT YOU HAVE READ AND AGREE TO THESE WORKER TERMS OF ACCESS.
